Terms of Service
These Terms of Service ("Terms") form a binding agreement between you and Uni ("Uni", "we", "us") governing your access to and use of unispike.app and all related products and services (the "Services").
By creating an account or using the Services, you accept these Terms. If you do not accept them, you must not access or use the Services.
Effective August 19, 2026.
Eligibility
You must be at least 13 years of age to create an account.
If you are under 18, you may use the Services only if a parent or legal guardian has reviewed and accepted these Terms on your behalf. Any purchase must be made by a person aged 18 or over, and by completing a purchase that person accepts these Terms as the contracting party.
Your account
You are responsible for maintaining the security of your account and for all activity that occurs under it. You must notify us at support@unispike.app promptly if you believe your account has been compromised. Accounts are personal to you and must not be shared.
Plans, credits, and billing
The Services are offered on a free tier and on paid plans. Current pricing is published on our pricing page, and the price displayed at checkout is the price that applies to your purchase.
- Free provides a limited monthly allowance of AI-powered features.
- Premium is a monthly subscription that renews automatically until canceled, with a larger monthly allowance.
- Season Pass is a one-time purchase granting a fixed allowance in advance rather than monthly.
- Credit top-ups are one-time purchases that add credits to your account.
Credits are a limited, revocable license to use paid features. They are not currency, not property, not transferable between accounts, and carry no cash value. Credits included with a subscription are a benefit of that subscription and expire at the end of each billing period. Credits purchased outright do not expire. Promotional credits, including referral bonuses and courtesy grants, may be expired or withdrawn at our discretion, particularly where we identify abuse. All credits are forfeited if we terminate your account for breach of these Terms.
Cancellation. You may cancel a subscription at any time through your billing settings. Cancellation takes effect at the end of the billing period for which you have already paid, and your access continues until that date. No further charges will be made.
Changes to paid plans. We may revise pricing and the contents of each plan. Where a change materially reduces what you have already purchased, we will notify you before it takes effect.
Refunds
All payments are non-refundable, including for partial periods and for unused credits or sessions.
Any refund issued as a courtesy is made at our sole discretion, does not modify this policy, and creates no entitlement for any other user or future request.
Where we are unable to provide a service for which you have already paid, we will issue a pro-rated credit or refund for the undelivered portion.
Admissions counseling
We separately offer one-to-one admissions counseling. Those services are governed by the Admissions Counseling Terms in addition to these Terms.
Nature of the Services
The Services are a preparation tool. They are not an admissions service, and we do not communicate with any institution on your behalf.
- No guarantee of outcomes. We do not guarantee admission, scholarship, interview, or any other result. Admissions decisions rest solely with each institution and depend on factors beyond our visibility or control.
- Scores and estimates are planning tools. Any score, rating, or admissions-chance indicator is generated from incomplete information, is never transmitted to any institution, and has no bearing on any actual decision.
- Individual results vary. Any student outcome described in our materials reflects the experience of a specific individual and is not a typical or expected result.
- Data may be inaccurate. Institutional statistics, deadlines, requirements, and activity listings are compiled from public sources and user submissions. You are responsible for verifying any information on which you intend to rely directly with the relevant institution or organization. We are not responsible for missed deadlines or for decisions made on the basis of inaccurate data.
- No professional advice. The Services do not replace a school counselor, teacher, or other qualified advisor.
AI features
The Services incorporate artificial intelligence provided by OpenAI, Anthropic, and AI or Not, supporting features including essay feedback, evaluation, chat, and recommendations.
AI output may be inaccurate, incomplete, or unsuitable for your purpose. You must review and verify it before relying on it. You remain solely responsible for any material you submit to an institution, whether or not it was produced with the assistance of the Services. We make no warranty as to the accuracy, originality, or fitness of AI output.
You retain ownership of the material you author. AI output generated for you is provided for your use subject to these Terms. Comparable output may be generated for other users, and neither party claims exclusive rights in content that could arise independently.
We do not use your content to train artificial intelligence models, and we do not permit our providers to do so.
Your content
You retain all ownership of the content you create using the Services, including essays, drafts, and activity records.
You grant us permission to store, process, display, and transmit that content solely to the extent necessary to operate the Services for you. This includes transmitting it to the AI providers identified above so that features function, and displaying it to any person with whom you deliberately share it. This permission terminates when you delete the content or your account, except where retention is required as described in our Privacy Policy.
Acceptable use
You must not use the Services to:
- violate any applicable law, or facilitate another person's violation of it
- misrepresent work as your own when it is not, or submit AI-generated text as your own writing. The Services exist to help you prepare your application, not to produce it for you, and using them to deceive an institution is a material breach of these Terms
- harass, abuse, threaten, defame, or discriminate against any person
- submit false information or impersonate any person or entity
- introduce malicious code, probe or interfere with the security of the Services, or scrape or systematically extract data
- resell, share, or sublicense your access
- reverse engineer, decompile, or attempt to derive the source of the Services
- breach the usage policies of OpenAI or Anthropic
We may suspend or terminate accounts that breach these provisions.
Copyright
If you believe material on the Services infringes your copyright, email support@unispike.app with sufficient detail to identify the work and its location. We will review the report, remove infringing material where appropriate, and terminate the accounts of repeat infringers.
Our intellectual property
The software, design, branding, and content comprising the Services are owned by us or our licensors. These Terms grant you permission to use the Services and confer no rights in them. You must not copy, modify, or create derivative works from the platform, or use our name or marks without our prior written consent.
Third-party resources
The Services link to third-party websites and organizations. We do not control or endorse them and accept no responsibility for their content, products, or practices. Review their terms before relying on them.
Suspension and termination
You may discontinue use and close your account at any time by contacting support@unispike.app.
We may suspend or terminate your account where you breach these Terms, where we reasonably believe your conduct presents a risk to other users or to the Services, or where we are required to do so by law. Where circumstances permit, we will state the reason. No refund is due where we terminate for breach.
We may modify or discontinue features. If we discontinue the Services entirely, we will provide reasonable notice and refund unused credits purchased in the preceding twelve months.
Disclaimer of warranties
The Services are provided "as is" and "as available", without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted operation. Where a jurisdiction does not permit such exclusions, they apply to the fullest extent permitted.
Limitation of liability
To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, or lost opportunity, arising from your use of the Services. This includes any liability arising from admissions decisions, AI output, reliance on data presented in the Services, or interruption of the Services.
Our aggregate liability for any claim is limited to the greater of the amount you paid us in the twelve months preceding the claim, or $100.
Nothing in these Terms limits liability that cannot lawfully be limited, including liability for fraud or for death or personal injury caused by negligence.
Indemnity
You agree to indemnify us against reasonable losses and legal costs arising from your breach of these Terms, your content, or your misuse of the Services.
Amendments
We may revise these Terms. Where a revision is material, we will require you to review and accept the updated Terms within the Services before continuing to use them, and may additionally notify you by email. Non-material revisions, including corrections and clarifications, take effect on posting.
If you do not accept revised Terms, you may discontinue use and close your account.
Governing law and disputes
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Any dispute will be brought exclusively in the state or federal courts located in Orange County, California, and both parties consent to the jurisdiction of those courts. Both parties waive any right to trial by jury. Either party may instead bring a qualifying claim in small claims court.
If you reside in the European Union or United Kingdom, nothing in this section removes your right to bring proceedings in the courts of your country of residence or to rely on the mandatory consumer protections of your local law.
The United Nations Convention on Contracts for the International Sale of Goods does not apply.
General
Severability. If any provision is held unenforceable, the remainder continues in effect.
No waiver. Our failure to enforce any provision, or any exception we grant, does not waive our right to enforce it subsequently.
Assignment. You may not assign your rights under these Terms. We may assign ours, including in connection with a merger or acquisition.
Force majeure. We are not liable for delay or failure in performance caused by events beyond our reasonable control.
Entire agreement. These Terms, the Privacy Policy, and any service-specific terms constitute the entire agreement between the parties regarding the Services.
Export and sanctions. You may not use the Services if you are subject to applicable sanctions or located in a jurisdiction where your use would be unlawful.
