These terms and conditions ("Agreement") set forth the general terms and conditions of your use of the Uni website ("Website") and any of their related products and services (collectively, "Services"). This Agreement is legally binding between you (“User”, “you” or “your”) and Uni (“Uni”, “we”, “us” or “our”). If you are entering into this Agreement on behalf of a business or other legal entity, you represent that you have the authority to bind such entity to this Agreement, in which case the terms “User”, “you” or “your” shall refer to such entity. If you do not have such authority, or if you do not agree with the terms of this Agreement, you must not accept this Agreement and may not access and use the Services. By accessing and using the Services, you acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement. You acknowledge that this Agreement is a contract between you and Uni, even though it is electronic and is not physically signed by you, and it governs your use of the Services.

Accounts and membership

If you create an account on the Services, you are responsible for maintaining the security of your account and you are fully responsible for all activities that occur under the account and any other actions taken in connection with it. We may monitor and review new accounts before you may sign in and start using the Services. Providing false contact information of any kind may result in the termination of your account. You must immediately notify us of any unauthorized uses of your account or any other breaches of security. We will not be liable for any acts or omissions by you, including any damages of any kind incurred as a result of such acts or omissions. We may suspend, disable, or delete your account (or any part thereof) if we determine that you have violated any provision of this Agreement or that your conduct or content would tend to damage our reputation and goodwill. If we delete your account for the foregoing reasons, you may not re-register for our Services. We may block your email address and Internet protocol address to prevent further registration.

Subscription Services and Access Tiers

We plan to introduce a paid subscription service in the future, which will provide users with access to an expanded set of features and enhanced functionality within the Services. Subscription pricing, including monthly fees, will be determined at our sole discretion and communicated clearly to users prior to purchase.

Users who choose not to subscribe will be limited to the free tier, which offers a restricted subset of features and capabilities. Additionally, anonymous or guest users who have not created an account will have even more limited access to the Services.

By continuing to use the Services, you acknowledge and agree that your access to certain features may be subject to subscription status, and that we reserve the right to modify, restrict, or remove features available in the free or guest tiers at any time without prior notice.

AI Features and Technology

Description of AI Services

Our Services incorporate artificial intelligence technology, including but not limited to services provided by OpenAI, to enhance user experience through features such as essay brainstorming, content evaluation, writing assistance, and personalized recommendations. These AI features are designed to assist with college application preparation and educational content creation.

User Responsibilities for AI Usage

By using our AI-powered features, you acknowledge and agree that:

You are solely responsible for all content, text, and information you input into our AI systems
You must review, verify, and take full responsibility for any AI-generated content before using it in your college applications or other contexts
You will not rely solely on AI-generated content without your own review and judgment
You are responsible for ensuring that your use of AI features complies with all applicable laws and regulations
You will not attempt to use AI features to generate content that violates our acceptable use policies

AI Output Disclaimers

AI-generated content provided through our Services is for informational and educational purposes only. You acknowledge that:

AI-generated content may contain errors, inaccuracies, or inconsistencies
AI outputs should be used as a starting point or reference, not as final or definitive content
We do not guarantee the accuracy, completeness, reliability, or suitability of any AI-generated content
AI-generated content may not be appropriate for all situations or audiences
You should always fact-check and verify AI-generated information independently

Intellectual Property in AI Processing

Regarding content processed through our AI features:

You retain ownership of any original content you input into our AI systems
AI-generated outputs based on your inputs are provided to you for your use, subject to these terms
You acknowledge that similar AI outputs may be generated for other users with similar inputs
Neither you nor Uni claim exclusive ownership over AI-generated content that could be independently created

College Admissions Disclaimer

No Guarantee of Admissions Outcomes

IMPORTANT NOTICE: Uni is an educational tool designed to assist with college application preparation. By using our Services, you expressly acknowledge and agree that:

NO ADMISSIONS GUARANTEE: We do not guarantee, warrant, or promise that use of our Services will result in acceptance to any college, university, or educational institution
INDIVIDUAL RESULTS VARY: College admissions decisions depend on numerous factors beyond our control, including but not limited to academic performance, standardized test scores, extracurricular activities, personal circumstances, institutional needs, and admissions committee preferences
ADVISORY NATURE: Our Services provide guidance, suggestions, and tools for application preparation, but do not constitute professional admissions counseling or guarantee any specific outcomes
USER RESPONSIBILITY: You are solely responsible for your college application materials, deadlines, accuracy of information, and compliance with institutional requirements
NO LIABILITY: Uni shall not be liable for any admissions decisions, rejections, missed deadlines, or other outcomes related to your college application process

Our Services are intended for educational and informational purposes to help users prepare their college applications. We strongly recommend that users:

Data Accuracy

Uni compiles data from extracurricular opportunities that are publicly available on the web, and some activities shown on Uni may come from user-submitted activities. Additionally, Uni displays college data from publicly available sources including IPEDS (Integrated Postsecondary Education Data System), the Common Data Set, and the Common App.

Uni cannot guarantee that the data displayed on our platform is accurate, complete, or up-to-date. It is your responsibility to verify the accuracy of all data, including but not limited to activity information, college statistics, deadlines, requirements, and any other data presented through our Services. You should always verify information through official sources such as college websites, admissions offices, and other authoritative channels.

Uni is not responsible for any missed deadlines, incorrect information followed by users, or any consequences resulting from reliance on data displayed on our platform. You acknowledge that data may contain errors, omissions, or may become outdated, and you agree to use the Services at your own risk with respect to data accuracy.

Cancellation Policy

All subscription cancellations are handled through Stripe, our payment processor. You may cancel your subscription at any time through your account settings, which will process the cancellation via Stripe, or by contacting our support team who will assist with the Stripe cancellation process. When you cancel your subscription through Stripe, you will continue to have access to premium features until the end of your current billing period. Your subscription will not renew for the next billing cycle, and you will not be charged for future billing periods. Cancellation takes effect at the end of your current billing period, and you will retain access to all premium features until that date. Please note that cancellation does not refund any previously billed subscription fees.

Refund Policy

Subscription fees, once paid, are non-refundable. We reserve the right to modify our refund policies at any time.

Links to other resources

Although the Services may link to other resources (such as websites, mobile applications, etc.), we are not, directly or indirectly, implying any approval, association, sponsorship, endorsement, or affiliation with any linked resource, unless specifically stated herein. We are not responsible for examining or evaluating, and we do not warrant the offerings of, any businesses or individuals or the content of their resources. We do not assume any responsibility or liability for the actions, products, services, and content of any other third parties. You should carefully review the legal statements and other conditions of use of any resource which you access through a link on the Services. Your linking to any other off-site resources is at your own risk.

Prohibited uses

In addition to other terms as set forth in the Agreement, you are prohibited from using the Services or Content: (a) for any unlawful purpose; (b) to solicit others to perform or participate in any unlawful acts; (c) to violate any international, federal, provincial or state regulations, rules, laws, or local ordinances; (d) to infringe upon or violate our intellectual property rights or the intellectual property rights of others; (e) to harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability; (f) to submit false or misleading information; (g) to upload or transmit viruses or any other type of malicious code that will or may be used in any way that will affect the functionality or operation of the Services, third party products and services, or the Internet; (h) to spam, phish, pharm, pretext, spider, crawl, or scrape; (i) for any obscene or immoral purpose; (j) to interfere with or circumvent the security features of the Services, third party products and services, or the Internet; (k) to generate content that promotes violence, hatred, or discrimination; (l) to create misleading, deceptive, or fraudulent content; (m) to violate the usage policies of our AI service providers, including OpenAI's usage policies; or (n) to attempt to reverse engineer, manipulate, or misuse our AI features. We reserve the right to terminate your use of the Services for violating any of the prohibited uses.

Intellectual property rights

“Intellectual Property Rights” means all present and future rights conferred by statute, common law or equity in or in relation to any copyright and related rights, trademarks, designs, patents, inventions, goodwill and the right to sue for passing off, rights to inventions, rights to use, and all other intellectual property rights, in each case whether registered or unregistered and including all applications and rights to apply for and be granted, rights to claim priority from, such rights and all similar or equivalent rights or forms of protection and any other results of intellectual activity which subsist or will subsist now or in the future in any part of the world. This Agreement does not transfer to you any intellectual property owned by Uni or third parties, and all rights, titles, and interests in and to such property will remain (as between the parties) solely with Uni. All trademarks, service marks, graphics and logos used in connection with the Services, are trademarks or registered trademarks of Uni or its licensors. Other trademarks, service marks, graphics and logos used in connection with the Services may be the trademarks of other third parties. Your use of the Services grants you no right or license to reproduce or otherwise use any of Uni or third party trademarks.

Indemnification

You agree to indemnify and hold Uni and its affiliates, directors, officers, employees, agents, suppliers and licensors harmless from and against any liabilities, losses, damages or costs, including reasonable attorneys’ fees, incurred in connection with or arising from any third party allegations, claims, actions, disputes, or demands asserted against any of them as a result of or relating to your Content, your use of the Services or any willful misconduct on your part.

Severability

All rights and restrictions contained in this Agreement may be exercised and shall be applicable and binding only to the extent that they do not violate any applicable laws and are intended to be limited to the extent necessary so that they will not render this Agreement illegal, invalid or unenforceable. If any provision or portion of any provision of this Agreement shall be held to be illegal, invalid or unenforceable by a court of competent jurisdiction, it is the intention of the parties that the remaining provisions or portions thereof shall constitute their agreement with respect to the subject matter hereof, and all such remaining provisions or portions thereof shall remain in full force and effect.

Dispute resolution

The formation, interpretation, and performance of this Agreement and any disputes arising out of it shall be governed by the substantive and procedural laws of California, United States without regard to its rules on conflicts or choice of law and, to the extent applicable, the laws of United States. The exclusive jurisdiction and venue for actions related to the subject matter hereof shall be the courts located in California, United States, and you hereby submit to the personal jurisdiction of such courts. You hereby waive any right to a jury trial in any proceeding arising out of or related to this Agreement. The United Nations Convention on Contracts for the International Sale of Goods does not apply to this Agreement.

Force Majeure

Uni shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including acts of God, natural disasters, government actions, internet failures, or other unforeseeable events.

Changes and amendments

We reserve the right to modify this Agreement or its terms related to the Services at any time at our discretion. When we do, we will revise the updated date at the bottom of this page, send you an email to notify you. We may also provide notice to you in other ways at our discretion, such as through the contact information you have provided.

An updated version of this Agreement will be effective immediately upon the posting of the revised Agreement unless otherwise specified. Your continued use of the Services after the effective date of the revised Agreement (or such other act specified at that time) will constitute your consent to those changes.

Assignment

You may not assign or transfer your rights or obligations under this Agreement without our prior written consent. We may freely assign or transfer this Agreement, in whole or in part, without restriction. Any attempt to assign this Agreement without such consent will be null and void.

Disclaimer of Warranty

The Services are provided "as is" and "as available," without any warranties of any kind, either express or implied. We expressly disclaim all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. We do not guarantee the accuracy, completeness, or reliability of any content or features available through the Services. This disclaimer specifically extends to any AI-generated content, which is provided without warranty as to its accuracy, usefulness, or suitability for any particular purpose.

Limitation of Liability

To the maximum extent permitted by law, Uni and its affiliates, directors, officers, employees, agents, suppliers, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from (a) your use or inability to use the Services; (b) any unauthorized access to or use of our servers and/or any personal information stored therein; (c) any interruption or cessation of transmission to or from the Services; (d) any bugs, viruses, trojan horses, or the like that may be transmitted to or through the Services by any third party; (e) any AI-generated content or outputs; (f) any college admissions decisions or outcomes; or (g) any reliance on AI-generated content or advice provided through the Services.

Privacy Policy

Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information. By using the Services, you consent to the collection and use of your information as described therein. (https://unispike.app/legal/privacy)

Data Retention Policy

Overview

Uni retains personal data only for as long as necessary to fulfill the purposes for which it was collected, comply with legal obligations, resolve disputes, and enforce our agreements. We regularly review and delete data that is no longer needed.

Data Categories and Retention Periods

Account Data

What it includes: User profiles, account settings, authentication information, subscription status, and account preferences. Retention Period:

Active Accounts: Retained for the duration of account activity
Inactive Accounts: Retained for 3 years after last login
Deleted Accounts: Immediately deleted upon user request, with 30-day recovery period

Personal Information

What it includes: Name, email address, phone number, educational information, and profile details. Retention Period:

Active Users: Retained while account is active
Inactive Users: Retained for 3 years after last activity
Upon Deletion Request: Deleted within 30 days

AI-Generated Content and Interactions

What it includes: User inputs to AI features, AI-generated responses, brainstorming sessions, essay drafts, and AI interaction history. Retention Period:

User-Created Content: Retained while account is active, plus 1 year after account deletion
AI Interaction Logs: Retained for 2 years for service improvement
Temporary Processing Data: Deleted within 24 hours after processing
OpenAI: May retain API data for up to 30 days for safety monitoring (per OpenAI's policy)

Usage and Analytics Data

What it includes: Page views, feature usage, device information, IP addresses, and behavioral analytics. Retention Period:

Data Deletion Process

Deletion Processing Timeline

Initial Response: We will acknowledge receipt of your deletion request within 10 business days
Processing Time: Deletion requests are typically processed within 30 days
Extended Processing: In some cases, we may need up to 45 additional days to complete the deletion (for example, if the request is complex or involves large amounts of data). We will notify you if an extension is needed
Confirmation: Once deletion is complete, you will receive a confirmation email

Automatic Deletion

We have automated systems in place to ensure data is deleted according to our retention periods:

Automated systems regularly review and delete data that has exceeded retention periods
Deletion processes run monthly for most data categories

Security and Fraud Prevention: Security logs, audit trails, and fraud prevention data may be retained for the periods specified in our Security and Audit Logs retention policy
Encrypted Backups: Some data may remain in encrypted backups for up to 90 days for technical reasons, after which it will be automatically deleted
Anonymized Data: Data that has been anonymized and no longer identifies you personally may be retained for analytics purposes

Deletion Verification

Deletion requests are processed within 30 days (or up to 90 days if extended)

Exceptions to Deletion

We may deny or delay a deletion request if:
